Manage, search, and use your organization's clause library.

Overview

The Clause Library is your organization's repository of preferred legal language. It powers:

  • Clause Search - Find existing clauses by topic or content
  • AI Drafting - Grounds AI-generated content in your templates
  • Template Comparison - Enables document comparison feature
  • Consistency - Maintains organizational standards

Library Contents

Your library contains clauses extracted from uploaded documents:

Browsing the Library

Accessing the Library

  1. Navigate to the Draft tab
  2. Click "Clause Library"
  3. Browse available clauses

Library Interface

The library shows:

  • Clause Title - Heading or inferred name
  • Content Preview - First portion of clause text
  • Source Document - Where this clause originated
  • Created Date - When clause was added

Filtering Options

Searching Clauses

Find clauses using text or semantic search.

Enter keywords to find matching clauses:

payment terms
indemnification
force majeure
confidentiality

Text search matches:

  • Clause titles
  • Clause content
  • Exact phrases and keywords

The library also understands meaning, not just keywords:

what happens if either party wants to end the agreement early

Semantic search finds clauses that address the concept, even if they use different words (e.g., finds "termination" clauses when you search for "ending the agreement").

Search Results

Results include:

  • Clause preview - Title and content snippet
  • Source document - Origin template name

Combining Search Approaches

For best results:

  1. Start with keyword search for specific terms
  2. Use semantic search for conceptual queries
  3. Browse by type if searching doesn't find what you need

Inserting Clauses

Add clauses from the library to your document.

Basic Insert

  1. Search or browse to find your clause
  2. Click on the clause to preview full text
  3. Position cursor in Word where you want the clause
  4. Click "Insert"

Insert Options

After Insertion

The clause appears at your cursor position. You can then:

  • Edit directly in Word
  • Use Edit Mode for AI-assisted modifications
  • Apply your document's formatting

Editing Before Insert

If you need to modify a clause before inserting:

  1. Insert the clause
  2. Select the inserted text
  3. Use Edit Mode to make changes
  4. Accept the revision

Uploading Documents

  1. Navigate to the Review tab
  2. Select a document type
  3. Click "Upload Template"
  4. Select a .docx file
  5. Wait for processing (clauses are extracted automatically)

Replacing Documents

To update a template:

  1. Upload a new file for that document type
  2. The old template is replaced
  3. New clauses are extracted automatically

Deleting Documents

To remove a template:

  1. Select the document type
  2. Click delete/remove
  3. Confirm deletion
  4. Associated clauses are removed

Organization Isolation

Your clauses are private to your organization:

  • Only your team can access your clauses
  • Clauses don't appear for other organizations
  • Templates are organization-specific

Best Practices

Building Your Library

  • ✅ Upload your best, most current templates
  • ✅ Cover all agreement types you commonly use
  • ✅ Include complete agreements (not fragments)
  • ✅ Update when templates are revised

Maintaining Quality

  • ✅ Review extracted clauses periodically
  • ✅ Remove outdated templates
  • ✅ Replace templates when legal language evolves
  • ✅ Ensure consistency across templates

Effective Searching

  • ✅ Try multiple search terms
  • ✅ Use both keyword and semantic search
  • ✅ Browse by type when search doesn't help
  • ✅ Check clause source for context

Using Clauses

  • ✅ Preview full text before inserting
  • ✅ Adapt clauses to specific context

  • ✅ Track all insertions for audit purposes

Troubleshooting

No Clauses Found

Causes:

  • No documents uploaded for your organization
  • Search terms too specific
  • Document type filter too narrow

Solutions:

  • Upload relevant templates
  • Try broader search terms
  • Remove filters

Upload Failed

Causes:

  • File format not supported
  • File too large
  • Corrupted document

Solutions:

  • Ensure .docx format
  • Reduce file size (< 10MB)
  • Try re-saving the document in Word

Clauses Look Wrong

Causes:

  • Complex document structure
  • Unusual formatting
  • Tables or nested content

Solutions:

  • Review source document
  • Consider simplifying structure
  • Re-upload with cleaner formatting
